BYLAWS

ARTICLE I: NAME AND PURPOSE

Section 1: Name: The Arlington Baptist School Parent Teacher Organization, herein after referred to as the PTO.

Section 2: Purpose: Its purpose shall be to promote the welfare of the programs and to subsidize, when possible, the activities of Arlington Baptist School. It also shall be the purpose of the PTO to operate in such a manner that no officers or members shall derive or gain personal financial benefit from PTO activities. The PTO shall operate as a nonprofit organization.

ARTICLE II: MEMBERSHIP

Section 1: Any parent, grandparent, alumnus, ABS teacher/staff member, or board member of Arlington Baptist School may be a member of the PTO. The suggested dues for membership shall be a donation of $5.00 per person annually. Any member shall have one vote in the PTO matters at any regular or special meeting. Membership shall commence upon receipt of dues and shall end on August 31. Meetings are open to all, but only members may vote.

Section 2: A ten member Executive Committee shall be elected/appointed to serve a two-year term. The PTO membership shall elect six parents from different families to serve on the Executive Committee. The ABS administration will appoint two school employees and the ABS School Board will appoint two of their members to serve on the Executive Committee. Executive Committee Members must be able to give testimony of their salvation in Christ and must agree with, and without reservation, be willing to sign the Statement of Faith of ABS.

ARTICLE III: MANAGEMENT OF THE PARENT TEACHER ORGANIZATION

Section 1: From the six elected members on the Executive Committee the PTO membership shall elect a President, Vice President, Secretary, and Treasurer. These elected officers shall be known as the PTO Officers.

Section 2: The PTO Officers shall be elected for a two year period in the odd year at the May general meeting.

Section 3: The PTO Officers will receive and present to the PTO membership all requests for moneys from the school; all requests must be in writing.

Section 4: All requests will be presented to the members of the PTO at a regular or special meeting. Approval requires that the request must have a majority vote by the membership at the meeting.

ARTICLE IV: OFFICERS AND THEIR DUTIES

Section l: The President shall:

a. Preside at all meetings of the PTO.

b. Act as the contracting officer for the PTO in connection with all business authorized by the members and, together with the secretary, sign all official contracts, agreements, and applications pertaining to the PTO business.

c. Appoint committees and their chairpersons.

d. Sign purchase orders, together with the treasurer, for the disbursement of funds as authorized by the PTO membership

Section 2: The Vice-President shall:

a. Have and exercise all the powers, authority and duties of the President during the President's absence.

b. Have such power and perform such duties as may be delegated to him by the President.

c. The Vice-President is authorized to sign purchase orders for disbursement of the PTO when the President is absent.

Section 3: The Treasurer shall:

a. Have custody of all funds, securities, valuable papers, and other assets of the PTO, subject to limitations and controls as imposed by the bylaws.

b. Have authority to sign purchase orders, together with the President, for the purpose of distributing PTO funds.

c. Collect the PTO's revenues and deposit them with the school business office.

d. Provide and maintain full and complete financial records of all the assets and liabilities of the PTO.

e. Give an accounting of funds at the regular meetings of the PTO.

f. Give an annual accounting of income and disbursements to the PTO.

Section 4: The Secretary shall:

a. Prepare and maintain full records of all meetings of the PTO.

b. Complete returns of all elections conducted in such meetings.

c. Give or cause to be given proper notice of all meetings of the PTO.

d. Together with the President sign all official contracts, agreements and applications pertaining to the PTO's business.

e. Keep the official list of members by name, address, email address, and telephone number.

f. Forward a copy of all minutes to the ABS administration and PTO Executive Committee.

Section 5: In addition to the specific, enumerated duties of officers as prescribed herein, any officer shall perform such other duties as customarily appertain to his office.

Section 6: When any officer is absent, or otherwise unable to perform the duties of his office, the President may designate another member of the PTO to act temporarily in his place.

Section 7: All officers and members of the PTO shall serve without compensation.

Section 8: The President and Treasurer may approve any expenditure of $50.00 or less to expedite PTO business. The Executive Committee may approve any expenditure of $50.00 to $100.00 to expedite club business. Any expenditure over $100.00 must be approved by a majority vote at a regular business meeting.

ARTICLE V: COMMITTEES AND THEIR DUTIES

Section 1: The Assistant Administrator of Arlington Baptist School or her appointee shall serve as an ex-officio member of the Executive Committee.

Section 2: Ways and Means: The Ways and Means Committee shall recommend for approval various fund-raising activities. All fund-raising activities must first meet with the approval of Arlington Baptist School and then with the PTO members. The President shall appoint committees and chairpersons to initiate and carry out details of the fund-raisers and report to the PTO the final results.

Section 3: All projects undertaken by the PTO must be approved by the membership. No committees of the PTO shall proceed with any project or activity until such approval is obtained.

ARTICLE VI: ADOPTION OF BYLAWS AND AMENDMENTS THERETO

Section 1: These bylaws shall become effective upon approval by the PTO and shall remain in effect until amended in accordance with the following provisions:

a. Proposed amendments may originate with the Executive Committee, PTO Officers, or PTO members.

b. Amendments or additions must be proposed at a regular or a special meeting and tabled for at least 30 days prior to being voted on.

c. Amendments or additions to the bylaws shall require the affirmative vote by a majority of the PTO members and ABS School Board.

Section 2: Copies of these bylaws shall be made available to members upon request.

ARTICLE VII: GENERAL

Section 1: All books of accounts, minutes of meetings, committee reports, and other records of the PTO shall be available to members at reasonable times and upon written request to the Secretary.

Section 2: All meetings of the PTO shall be governed by the rules contained in the latest edition of Robert's Rules of Order, except where they may conflict with the bylaws of the PTO.

Section 3: The books and records of the PTO shall be kept by the Secretary, unless in the hands of the PTO Officers on official business.

Section 4: All funds collected shall be submitted to the Treasurer of the PTO.

Section 5: The President shall appoint a committee to research all amendments or changes to the bylaws and they shall report conflicts to the PTO.

Section 6: In the event the PTO should dissolve, all moneys in its account shall become the property of Arlington Baptist School.

Section 7: The PTO will not be responsible for any debts of Arlington Baptist School.

Section 8: The Arlington Baptist School shall not be responsible for any debts or actions of the Arlington Baptist School's PTO.

ARTICLE VIII: QUORUM

Ten members shall constitute a quorum for the purpose of conducting a meeting; these members must include the President and Treasurer, or their appointees.

ARTICLE IX: ELECTION OF OFFICERS

All elected Executive Committee members shall be elected by the membership at the regular meeting each May in the odd year and shall continue in office for two (2) years. The ten member Executive Committee will then elect the PTO officers from among the six parent members of the Executive Committee. Installation of PTO officers shall take place at the conclusion of this meeting. Vacancies may be filled after a 30-day waiting period.

ARTICLE X: MEETINGS

Section 1: Bi-monthly meetings shall be held the second Thursday of each ODD NUMBERED month, September through May (Sept., Nov., Jan., March, and May). The President or the Vice-President may change the date of the bi-monthly meeting upon notification.

Section 2: Regular meetings will not be held during the months of June, July, or August; however, special meetings of the Executive Committee or PTO Officers may be called by the President, if needed. Other, special meetings may be called by the President throughout the year, when necessary.

Section 3: The order of a regular meeting shall be:

1. Call to order and prayer (introduction of members when necessary).

2. Reading of the minutes.

3. Treasurer's report.

4. Committee reports.

5. Old business.

6. New business.

7. Adjournment and closing prayer.
